a) To agree that appropriate members of the management committee register a new company limited by guarantee, Hertford Cricket and Hockey Association Ltd, to be of a similar structure and with similar non-profit making objectives and activities to those of the current unincorporated association, having four directors (a director nominated by the Cricket Club, a director nominated by the Hockey Club, the Association Secretary, and the Association Treasurer) and having as its initial members all members of the present association.

b) To agree that the assets and liabilities of the present association be transferred to the new company, including transfer of the lease of the premises and all its obligations from the present trustees to the new company.

c) To agree that after transfers of all assets and liabilities, the current unincorporated association be liquidated.
